I am Full Professor of Business Law. Since 2019, I am the Director of the PhD in Legal Studies. A new paper dealing with board/shareholder engagement is forthcoming in the Hastings Business Law Journal. It shows that shows that legal constraints deriving from EU financial markets law do not hamper institutional investor engagement and outlines an innovative practical framework that reduces the risk of violating disclosure rules and fosters board-shareholder engagement.
I teach and I widely publish in the areas of comparative corporate law, securities regulation, accounting law and bankruptcy Law. My recent research focuses on institutional investor stewardship, with particular emphasis on board-shareholder dialogue, shareholder activism and sustainable finance. My scholarship has been or will be published in leading US, European and Italian business law journals.
